Welcome to download, access, install, or use the software and related data (collectively referred to as the "Licensed Content") provided by【Westlake University】 (hereinafter referred to as the “Licensor”). The Licensed Content is specifically authorized by the Guo Tiannan Laboratory at Westlake University. To safeguard your legal rights and ensure a safe and satisfying user experience, we kindly remind you to carefully read and fully understand this Software and Data Use License Agreement (the “Agreement”) before using any of the licensed content. Please pay special attention to the terms highlighted in bold or underlined , as they may concern limitations on the rights of interested party, disclaimers of liability, applicable law, or dispute resolution mechanisms. Please review these provisions thoroughly.

本协议为您（以下称“您”或“被授权方”或“用户”）与授权方之间就您下载、访问、安装或使用授权内容所订立的具有法律效力的书面协议。 一经您访问或使用授权内容，即视为您已阅读、理解并同意接受本协议之全部内容， 包括授权方已发布或将来发布的补充条款、服务规则或使用规范（以下统称为“补充协议”），上述补充协议均为本协议不可分割的组成部分，与本协议正文具有同等法律效力。

This Agreement is a legally binding contract between you (hereinafter referred to as “you” or the “Licensee” or the “user”) and the Licensor, governing your access to and use of the licensed content. By downloading, accessing, installing, or using any part of the Licensed Materials, you are deemed to have read, understood, and agreed to be bound by all terms of this Agreement , including any supplemental terms, service rules, or usage guidelines issued now or in the future by the Licensor (collectively, the “Supplementary Terms”), which shall form an integral part of this Agreement and have the same legal effect as the main text.

【西湖大学】将依照本协议及相关操作规则向您提供授权内容，您必须同意本协议的全部条款后，方可下载、访问、安装或使用授权内容。 如您不同意本协议的任何内容，应立即停止下载或使用授权内容。 如您在使用过程中点击“同意”或实际访问、安装、下载、复制、传播、或以任何方式使用授权内容，即表示您已充分阅读、理解并接受本协议的全部条款，并自愿接受本协议内容的约束。

Westlake University will provide the Licensed Materials to you in accordance with the terms of this Agreement and related operational rules. You must accept all terms of this Agreement before you may download, access, install, or use the Licensed Materials. If you do not agree with any part of this Agreement, you must immediately cease any download or use of the Licensed Materials. By clicking "Agree" or by actually accessing, installing, downloading, copying, distributing, or otherwise using any part of the Licensed Materials, you are deemed to have fully read, understood, and accepted all terms of this Agreement and voluntarily agreed to be bound by its contents.

授权范围SCOPE OF LICENSE

授权方在此授予被授权方一项非独占、不可转让、有限的授权，在符合本协议条款的前提下，仅限其将授权内容用于非商业性的合法学术研究或个人用途。

Subject to the terms of this agreement, the Licensor hereby grants the Licensee a non-exclusive, non-transferable, and limited license to use the Licensed Materials strictly for non-commercial and legal academic research or personal purposes.

本授权明确排除任何商业用途，包括但不限于销售、许可、租赁、分发、改编、集成于商业产品或服务，或任何直接或间接以盈利为目的的活动。

This license explicitly excludes any commercial use, including but not limited to sale, licensing, leasing, distribution, adaptation, integration into commercial products or services, or any other activity with profit-making intent, whether direct or indirect.

若被授权方拟将授权内容用于本协议约定之外的任何非商业或商业目的，须与郭天南博士书面联系（见附录A）并与授权方另行签署书面协议，并事先获得书面许可。任何未经授权的商业使用均构成本协议的重大违约。

Any intended non-commercial or commercial use other than those stipulated in this agreement must be subject to contacting Dr. Guo Tiannan (provided in Appendix A) in writing and obtaining a separate written agreement. Licensees seeking commercial rights must contact the Licensor and obtain prior written permission. Unauthorized commercial use constitutes a material breach of this Agreement.

使用限制USE RESTRICTIONS

被授权方不得对授权内容进行逆向工程、反编译、反汇编、解密或以其他方式试图访问其源代码、内部逻辑或底层数据结构，除非相关法律明文允许且已事先获得授权方书面同意。

The Licensee shall not reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to access the content of the authorization, internal logic, or underlying data structures of the Software, except as explicitly permitted by applicable laws and with prior written consent of the Licensor.

未经授权方书面许可，被授权方不得修改、改编、翻译授权内容，亦不得基于授权内容创作任何衍生作品。

The Licensee shall not modify, adapt, translate, or create derivative works based on the Licensed Materials unless separately authorized in writing by the Licensor.

被授权方不得删除、遮盖或更改授权内容中包含的任何版权声明、商标标识或其他专有权利标志。

The Licensee shall not remove, obscure, or alter any copyright, trademark, proprietary notices, or other identifying marks included in the Licensed Materials.

数据使用条款DATA USAGE TERMS

授权方提供的所有数据（包括实验数据、数据库、统计结果等）仅限供合法学术研究或个人用途参考。

All data provided (including experimental data, databases, statistical results, etc.) may only be used for lawful academic research or personal purposes for reference.

被授权方严禁将数据用于任何违法、不道德、违背公共利益或违反适用数据保护法规（包括但不限于GDPR）的用途。

The Licensee is strictly prohibited from using the data for purposes that are illegal, unethical, or contrary to public interest or applicable data protection regulations (including but not limited to the GDPR, where relevant).

被授权方不得尝试重新识别任何匿名化或去标识化的数据。任何此类行为将被视为重大违约。

The Licensee shall not attempt to re-identify any anonymized or de-identified data provided in the Licensed Materials. Any such act shall be deemed a material breach.

在获得授权方事先书面许可的前提下，被授权方在发表、展示或输出使用授权内容的成果时，应根据授权方指定的引用格式给予明确引用（见附录A）。

Subject to the prior written permission of the licensor, the Licensee shall provide appropriate citation and attribution to the Licensor in any publication, presentation, or output that uses or is derived from the Licensed Materials. Citation format is provided in Appendix A.

数据保护与合规DATA PROTECTION AND COMPLIANCE

被授权方应采取严格的技术和保密措施，以防止对授权内容的未经授权访问、披露、篡改或破坏。

The Licensee shall implement strict technical and confidentiality measures to prevent unauthorized access, disclosure, alteration, or destruction of the Licensed Materials.

4.2若发生或可能发生数据泄露事件，被授权方应在48小时内以书面形式通知授权方，并详细说明事件经过、受影响的数据及已采取的补救措施。

In the event of any actual or probable data breach, the Licensee shall notify the Licensor in writing within 48 hours, including a detailed description of the breach, affected data, and corrective measures taken.

授权方有权要求被授权方提供使用记录、访问日志或相关文档以验证其合规情况。被授权方应在10个工作日内提供所需资料，并诚信配合。

The Licensor reserves the right to request usage records, access logs, or documentation to verify compliance. The Licensee shall provide requested information within 10 business days and cooperate in good faith.

未经授权方事先书面许可，被授权方不得将授权数据出口、传输或转移至中华人民共和国境外。

The Licensee shall not export, transfer, or transmit the Licensed Data outside the jurisdiction of the People's Republic of China without prior written consent from the Licensor.

知识产权INTELLECTUAL PROPERTY RIGHTS

授权方保留其在本协议项下提供的全部授权内容（包括软件及数据）及其相关知识产权的所有权，包括但不限于版权、专利权、商业秘密及其他合法权益。

The Licensor retains full ownership and all intellectual property rights in and to the Licensed Materials provided under this Agreement, including but not limited to copyrights, patent rights, trade secrets, and other lawful entitlements.

被授权方应对其在使用过程中获取或知悉的授权内容及相关信息严格保密，并采取合理、严格的数据安全保护措施。

The Licensee shall treat any Licensed Materials and related information obtained or accessed during use as strictly confidential and shall implement appropriate and rigorous data protection measures.

除本协议明示许可的使用范围外，未经授权方事先书面许可，被授权方不得基于任何目的向任何第三方披露、传播、转让、授权或转授权、出售或以其他任何形式使用授权内容，也不得用于任何商业或非商业用途。

Except as explicitly permitted under this Agreement, the Licensee shall not, for any purpose and without the Licensor’s prior written consent, disclose, distribute, transfer, license or sublicense, sell, or otherwise use the Licensed Materials generated from the Licensed Materials. This prohibition applies to any commercial or non-commercial uses.

免责条款DISCLAIMER

授权方不对授权内容的准确性、完整性、可靠性或适用性作任何明示或默示的保证。被授权方使用授权内容的风险由其自行承担。

The Licensor makes no express or implied warranties regarding the accuracy, completeness, reliability, or suitability of the Licensed Materials. The Licensee assumes all risks arising from the use of the Licensed Materials.

授权方不因被授权方使用或无法使用授权内容导致的任何直接、间接、附带、特殊或后果性损害承担法律责任，即使授权方已被告知此类损害的可能性。

The Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the Licensee’s use or inability to use the Licensed Materials, even if the Licensor has been advised of the possibility of such damages.

您理解并同意，在符合法律规定的范围内，授权方对于因以下原因导致的软件或数据服务中断、延迟、服务安全问题、服务终止或由此给您造成的任何损失不承担责任，但授权方将尽力与相关部门合作，及时修复，以减少您的损失和影响：

You understand and agree that, to the extent permitted by law, the Licensor shall not be liable for any interruption, delay, security issues, termination of software or data services, or any other losses caused thereby, but will strive to cooperate with relevant departments to promptly fix issues to minimize your losses and impact, caused by:

不可抗力因素，包括但不限于网络设备维护、网络连接故障、电脑、通讯或其他系统故障、电力故障、罢工、劳动争议、骚乱、自然灾害、战争、政府行为、法律法规变化及司法行政机关命令等；

Force majeure events, including but not limited to network equipment maintenance, network connection failures, computer, communication or other system failures, power outages, strikes, labor disputes, riots, natural disasters, wars, government actions, changes in laws or regulations, and orders from judicial or administrative authorities;

遭受第三方恶意破坏，如计算机病毒、木马、黑客攻击等；

Malicious damage caused by third parties such as computer viruses, trojans, or hacker attacks;

6.3.3设备兼容性问题、网络拥堵、第三方网站原因等；

Device compatibility errors, network congestion, or issues caused by third-party websites;

用户自身操作不当；

Improper operation by the user;

用户未经授权方授权使用本软件或数据服务；

Use of the software or data service by the user without the Licensor’s authorization;

其他授权方无法控制或合理预见的情形。

Other circumstances beyond the Licensor’s control or reasonable foreseeability.

您理解并同意，授权方提供的软件可能为试用版本、开发中版本或基础功能版本，其功能、性能、兼容性或稳定性可能尚未完善，亦不保证其完全满足您的特定使用需求。授权方同时可能提供配套的数据资源（如训练数据、验证数据、示例数据、模型参数等），该等数据可能因开发进度、版本更新或适配差异而存在不完整、不一致或不适配特定应用场景的情况。对于因上述软件或数据的局限性、不完整性或不适配性而造成的任何直接或间接损失，授权方不承担任何责任。

You acknowledge and agree that the Software provided by the Licensor may be a trial version, under development, or a basic-functionality version, and as such, its features, performance, compatibility, or stability may not be fully developed and may not completely meet your specific requirements. The Licensor may also provide accompanying data resources (such as training data, validation data, sample data, model parameters, etc.), which may be incomplete, inconsistent, or unsuitable for certain application scenarios due to development progress, version updates, or adaptation issues. The Licensor shall not be liable for any direct or indirect losses arising from the limitations, incompleteness, or unsuitability of the Software or data.

您理解并同意，授权方提供的软件和数据仅限于研究用途，不应用于临床诊断、患者治疗、商业决策、自动化控制或其他高风险活动。若被授权方擅自超范围使用，由此引发的任何后果及损失，均由被授权方自行承担，授权方不承担任何责任。

You understand and agree that the Software and data provided by the Licensor are intended for research purposes only and shall not be used for clinical diagnosis, patient treatment, business decision-making, automated control, or other high-risk activities. If the Licensee uses the Software or data beyond the agreed scope without authorization, the Licensee shall bear all consequences and losses arising therefrom, and the Licensor shall bear no liability whatsoever.

授权方有权对软件或数据进行版本升级、修改、暂停或终止服务，恕不另行通知。授权方不保证持续提供某一特定版本或功能。如因版本变更或服务调整引起您的使用中断或数据不兼容，授权方不承担任何责任，但将尽力提供必要的技术协助。

The Licensor reserves the right to upgrade, modify, suspend, or terminate the software or data services at any time without prior notice. The Licensor does not guarantee the continued availability of any specific version or feature. The Licensor shall not be liable for any interruption of use or data incompatibility resulting from version changes or service adjustments, but will make reasonable efforts to provide necessary technical assistance.

因您将账号、验证码告知他人，或与他人共享、转让账户等行为导致的个人信息泄露或财产损失，责任由您自行承担，授权方不承担任何责任。

The Licensor shall not be responsible for any personal information leakage or property loss caused by you disclosing your account or verification code to others, sharing or transferring your account, etc., which is solely your responsibility.

因您提供错误、不完整或虚假信息，导致无法正常使用授权内容或产生其他损失，授权方不承担责任。

The Licensor shall not be liable for any inability to use the licensed content properly or other losses caused by your provision of incorrect, incomplete, or false information.

若您使用软件上传、导入或输入任何自有数据或第三方数据，您应保证您对该等数据享有合法使用权。授权方对该等数据的完整性、合法性、准确性或适用性不承担任何责任。因您上传或使用数据产生的争议、纠纷或损失，由您自行承担。

If you upload, import, or input any proprietary or third-party data when using the Software, you shall ensure that you have the legal right to use such data. The Licensor assumes no responsibility for the integrity, legality, accuracy, or applicability of such data. You shall bear full responsibility for any disputes, claims, or losses arising from your uploading or use of such data.

您理解并同意，在法律允许范围内，授权方不承担任何因利润损失（直接或间接）、商誉损害、机会损失、数据丢失或其他间接损失产生的赔偿责任。

You understand and agree that, to the extent permitted by law, the Licensor shall not be liable for any compensation for lost profits (whether direct or indirect), goodwill loss, opportunity loss, data loss, or other indirect or incidental damages.

本软件可能依赖或集成第三方平台、服务、组件或开源工具。授权方不对第三方服务的可用性、稳定性、安全性及更新策略承担责任。因第三方服务导致的任何故障或损失，授权方不承担任何责任。

The Software may rely on or integrate third-party platforms, services, components, or open-source tools. The Licensor shall not be responsible for the availability, stability, security, or update policies of any third-party services. The Licensor shall bear no liability for any malfunctions or losses resulting from the use of such third-party services.

协议终止TERMINATION

若被授权方违反本协议任一条款，授权方有权立即终止本协议。

The Licensor may terminate this Agreement immediately upon the Licensee’s breach of any of its provisions.

协议终止后，被授权方应立即删除所有授权内容及副本，并停止任何形式的使用。

Upon termination, the Licensee must immediately delete all copies of the Licensed Materials and cease all use thereof.

如被授权方存在未经授权的商业或非商业使用、数据泄露、身份重新识别或其他严重违规行为，本协议将自动终止，且无需另行通知。

This Agreement shall automatically terminate without notice if the Licensee is found to have engaged in unauthorized non-commercial or commercial use, data leakage, re-identification, or similar serious misconduct.

违约责任与救济LIABILITY AND REMEDIES

违反本协议的任何行为均构成重大违约，授权方可据此终止访问权，并要求被授权方承担相关损害赔偿责任。

Any violation of this Agreement constitutes a material breach and may lead to termination of access and liability for damages.

授权方有权对任何未经授权的使用行为采取法律或行政救济措施，包括但不限于申请禁令。

8.2The Licensor may take legal or administrative action, including injunctive relief, against any unauthorized use.

授权方保留寻求禁令救济、追究法律或行政责任以及要求被授权方就因违反本协议而产生的全部损失、损害和声誉影响进行赔偿的权利。情节严重者，授权方亦可向监管、学术或执法机构报告。

The Licensor reserves the right to seek injunctive relief, pursue administrative or legal remedies, and claim full compensation for any losses, damages, or reputational harm resulting from the Licensee’s breach of this Agreement. In severe cases, the Licensor may also report the incident to relevant regulatory, academic, or law enforcement authorities.

适用法律与争议解决GOVERNING LAW AND DISPUTE RESOLUTION

本协议适用中华人民共和国法律，并依其解释。因本协议引起或与之相关的任何争议，应提交浙江省杭州市人民法院专属管辖，除非另有书面约定。

This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the People’s Court of Hangzhou, Zhejiang Province, unless otherwise agreed in writing.

其他条款MISCELLANEOUS

本协议构成双方关于授权内容的完整协议，并取代任何此前的口头或书面沟通。

This Agreement constitutes the entire agreement between the Parties and supersedes all prior oral or written communications related to the Licensed Materials.

若本协议任何条款被认定为无效或不可执行，其余条款仍应保持完全效力。

If any provision of this Agreement is held to be invalid or unenforceable, the remainder shall remain in full force and effect.

授权方未能及时行使本协议项下任何权利，不构成对该权利的放弃。

No failure or delay by the Licensor in exercising any right shall constitute a waiver.
